Minutes to Annual Meeting of Wolf Mountain Estates’
Property Owners Association
August 5, 2006

Meeting called to order by President Dave Dunlap, on August 5, 2006 at 1:00PM

Introduction and welcome, particularly to new attendees. New members were introduced to all. President Dunlap thanked the many individuals, the Board, & the Committee Members for their numerous efforts in infusing tremendous community spirit through hard work. Deep appreciation is extended to the Developers for their continued generosity and support in improving Wolf Mt. Estates

140 current property owners within Wolf Mountain Estates; Property Owners Association.
12 ongoing construction sites

Summary of past-year activities
Entrance landscaping
Update of addresses and creation of directory
Review of by-laws and covenants

Meeting Minutes
Motion made to accept the minutes without reading them. Motion seconded and approved.

Treasury Report Harry Micka reported the following:
97% of association dues collected
Discussion of putting liens on the properties where owners are severely delinquent in payment of dues.

Current Assets: $22,672 money market account
$628 checking account

The first of the 2 loans taken out for repaving has been paid off. $15,000 remaining on the second note.

A sinking fund for road maintenance is being established. This sinking fund will be used for future road repairs/upgrades.

All financials have now been placed on the Quicken software package.

Treasury report was accepted by acclamation.

Landscape Committee
Tom Wilmes reported on the ongoing planning for short, medium, and long-term projects. Tom has met with Steve Crowe to discuss possible landscaping projects and budgeting for these projects. Some of these projects include the following:
painting the inside and outside of the clubhouse
glass doors in the clubhouse
air and heating in the clubhouse
screening the patio area of the clubhouse
master landscape plan for clubhouse area
parking area improvements
more trees around the clubhouse
picnic tables and grill closer to the creek

Discussion of possible options to improve the pond:
Option 1 is deepening of the pond
Option 2 is to enlarge the pond area. The owner of the property around the pond has been approached about the possibility of donating some land around the pond or an easement of the pond area.
Dave Dunlap will investigate with the Corp of Engineer any restrictions concerning the creek by the pond.

Changes to the front entrance and mail boxes are still a number of years away because of budget constraints. The are only 4 of the 47 mailboxes left. As we only have 16 fulltime residents, it was requested that any part-time owner turn in their mailbox if possible.

Request was made for volunteers to help with the maintenance of the pond.


Road Committee
Dave Dunlap reported that there has been some cracking but nothing that was not anticipated. Dave stated that the overall condition of the road was good. Dave furthered the topic of creating a sinking fund for future road maintenance.

Discussion of possibility of having the state take over maintenance of the road. This is not a viable option because the current road does not meet state standards and the road would no longer be a private road.

Dave sent a mailing to the utility companies stating the desired procedures for making any necessary repairs within Wolf Mtn Estates. Poorly executed repairs by the utility company which resulted in damage to the road initiated this mailing.

Questions regarding re-graveling of roads were raised. It was pointed out that Steve Crowe has been gracious enough to re-gravel and grate the roads when necessary. In the past this has been about once every 3 years.

Covenants and by-laws:
Kathy McPherson presented the following recommended changes. These changes were mailed with the annual meeting notice.

Article I: Organization
1. Name — The name of the nonprofit organization association shall be the “Wolf Mountain Property Owners Association, Inc.” and, for designation purposes, is referred to in the by laws as the “Association”. This Association is formed according to North Carolina Statute G.S. 47-F and is operated by its content.

Article III — Organization
1. Board of Directors — The governing body of the Association shall be a Board of Directors, consisting of the seven-(7) voting members. The following Officers will be selected by the Board from their members: President, Vice President, Secretary, and Treasurer for a term of one year.

2. Liens — The Covenants and Restrictions that cover Wolf Mountain Estates, and according to law (Chapter 47F-3.116 of the North Carolina General Statues, which allows liens against real property), allow the Association to place a lien against property in which dues and or assessments have not been paid. In addition, the Association will request a Court order to collect Court costs and attorneys’ fees incurred in the connection with collection of the dues and or assessments

The changes were voted upon and passed.

Other amendments are still being considered. Clean-up of the existing by-laws and covenants is still under review.

Board Members for 2006-2007
The Nominating Committee recommended Jan Graham, Denny Williamson, and Bubber Horne to replace the members leaving the board.

Being that no other nominations were made, it was suggested and approved that the full slate of board members be voted upon at with a single motion.

The full slate of board members were approved by acclamation.

New business:
The clubhouse can now be used by association members free of charge. There is a $40 refundable deposit. Please contact any of the board members to schedule usage of the clubhouse.

When using the bulletin board by the mailboxes, please use a 3 X 5 note card. Contact Dave Dunlap or Barbara Kroeplin to put something on the bulletin board.

The question was raised of whether or not the wolf banners should continue to be put up along the road. It was voted that they should. Sponsors are needed for our beautiful banners that we display on our roads. Please contact Jerry & Pat Dashner (494-2683) or Barbara Kroeplin (494-9269) if you would like to be a sponsor. The cost is between $25-$35.
